- 1. - Chapter IV Birth and Removal of Organizations and Persons in Charge
- Article 23 National Congress of Members
- 1. The organization principle of this association is democratic centralism, and the highest authority is the National Congress of Members.
- The National Congress of our members is held every four years. In case of special circumstances, advance or extension must be discussed and decided by the council, reported to the competent business unit for review, and approved by the registration management authority of the society. However, the extension may be delayed for a maximum of one year.
- 2. Duties of National Member Congress:
- (1) Formulate the working principles and tasks of the Association;
- (2) Review the work report and financial report of the Board;
- (3) Election and dismissal of the council;
- (4) Formulate and modify the constitution of the Association;
- (5) Decide on termination matters and other major matters.
- 3. The National Member Congress must be attended by more than two-thirds of the members' representatives, and its resolutions must be approved by more than half of the members present.
- Article 24 Council
- 1. During the closing period of the National Member Congress, the Council is the leading body of the Council. During the intersessional period, he leads the group to carry out daily work and is responsible to the member congress.
- 2. How to create the council
- The council is re-elected every four years, and no less than one-third of the members of the council are renewed each time. Candidates for the next term are proposed by the previous standing council in accordance with the principles of full deliberation and democratic consultation, and submitted to the National Congress of Members for election. Elections are conducted by secret ballot. Only candidates who receive more than half of the votes can be elected as directors.

- 5. Duties of the Board
- (1) Implement the resolution of the member congress;
- (2) Election of a standing council, with the number of standing directors not exceeding one third of the number of directors;

- (4) Decide on the Deputy Secretary-General and the main person in charge of the branch;

- 6. The council must be attended by more than two-thirds of the directors, and its resolutions must take effect after two-thirds of the directors vote.
- 7. In addition to individual directors, the council may appropriately increase the number of unit directors, the proportion of which does not exceed 10% of the total number of directors. The unit directors must be agreed by the unit's application to the standing council.
- Article 25 Standing Council
- 1. During the closing of the council, the executive council shall perform the duties of the council (except Article 24, paragraph 5 (2), (3), (5)), and shall be responsible to the council.
- 2. The executive council meets at least once every six months, and can also be held in the form of communication if necessary.
- 3. The standing council must be attended by more than two-thirds of the executive directors, and its resolutions must be passed by the standing council members by more than two-thirds to pass.
- 4. The term of office of the chairman, vice-chairman and secretary-general of the Association is 4 years. The term of office of the chairman, vice-chairman and secretary-general shall not exceed two terms. - 5. The chairman of the board is the legal representative of the society and shall not concurrently serve as the legal representative of other national societies. Special circumstances may be decided by the executive council as vice chairman or secretary general as a legal representative.
- Article 26 The Chairman, Deputy Chairman and Secretary-General of the Association must meet the following requirements:

- 2. Highly accomplished experts, scholars or persons with great influence in the field of this professional discipline and business;
- 3. Enthusiastically learn to work, be healthy, and be able to adhere to normal work;
- 4. When the chairman and deputy directors are in office, their age is generally not more than 70 years old, and when the secretary general is in office, they are generally not more than 62 years old. The secretary general is full-time;

- Article 27 If the chairman, deputy chairman and secretary-general of the Association exceed the maximum service age, they must be approved by the board of directors, submitted to the business unit for review, and approved by the registration management authority of the society before they can serve.
- Article 28 The Chairman of the Association exercises the following functions and powers:
- 1. Convening and presiding over the National Member Congress, Council, and Executive Council;
- 2. Check the implementation of the resolutions of the National Member Congress, the Council, and the Standing Council;
- 3. Sign relevant important documents on behalf of the Society.
- Article 29 The Secretary-General of the Association exercises the following functions and powers:
- 1. Host the office to carry out daily work and organize the implementation of the annual work plan;
- 2. Coordinate the work of all branches, representative offices and entities;

- Article 30: Nominations are made by former directors, executive directors who have made significant contributions to the Association, or well-known experts and scholars who have made outstanding contributions to the acoustics. - Article 31 Working Committee

- 1. The council may set up several chapters as the academic institution responsible for organizing sub-sectors or professional academic activities under the leadership of the council according to the needs of the subject or professional academic activities of the discipline.
- 2. Each branch has one chairman, several deputy directors, several members, and a full-time or part-time secretary. The chairman and deputy chairmen are elected by the committee and appointed by the council or standing council for four years. The chairman of the committee is usually the executive director or director of the society. Members and secretaries are nominated or elected by the chief and deputy chairmen in consultation with relevant parties, and submitted to the Institute for record. - 1. The Association establishes the Office of the Institute as a full-time office. Under the leadership of the Executive Council, the Secretary-General or Deputy Secretary-General is responsible for handling the daily work of the Association, and is under the leadership of the unit.

- Chapter V Principles of Asset Management and Use
- Article 34 Funding Sources
- 1. Funded by the China Association for Science and Technology;

- Chapter VII Procedures for Amending the Articles of Association
