Chengdu Gonghe Community Development Foundation is a local non-public fundraising foundation. - Chapter I General Provisions
- Article 1 The name of this foundation is Chengdu Gonghe Community Development Foundation.
- Article 2 The Foundation is a non-public offering.
- The geographic scope of the foundation's public fundraising is: Nationwide.
- Article 3 The purpose of this foundation: To liaise with domestic and foreign social groups and individuals, to raise funds and provide funding for the prosperity and development of the cultural construction and education of the Chengdu community.
- Article 4 The original fund of this foundation is RMB 2 million, which is derived from voluntary donations from natural persons, legal persons or other organizations.
- Article 5 The registration and management organ of the Foundation is the Sichuan Provincial Department of Civil Affairs, and its business unit is the Propaganda Department of the Chengdu Municipal Committee.
- Article 6 The foundation's residence is on the third floor of the Sports Bureau Building, No. 11, Section 1, Renmin Middle Road, Chengdu.
- Chapter II Business Scope

- (3) Other social activities that promote the development and progress of Chengdu's community;
- Chapter III Organizations and Persons in Charge
- Article 8 The Foundation is composed of 7 council members.
- The term of office of the members of the foundation is one year, and the term of office expires, and they can be re-elected.
- Article 9 Qualifications of Directors:
- (1) agree with the purpose of the foundation;
- (2) Be enthusiastic about the social public welfare undertakings of the Foundation;
- (3) Provide various funding including fund donation to the Foundation;
- Article 10: Generation and removal of directors:
- (1) The first directors shall be nominated by the competent business unit, major donors and promoters, and shall be determined through consultation.
- (2) When the board of directors is re-elected, the business unit, the board of directors and the main donors jointly nominate candidates and organize a new leadership group, and organize all candidates to jointly elect a new director.
- (3) The removal and addition of directors shall be approved by the board of directors and reported to the business unit for review and approval;
- (4) The results of the election and removal of directors are reported to the registration and management authority for the record.
- Article 11 Directors' rights and obligations:

- Article 12 The decision-making body of the Foundation is the council. The Council exercises the following functions:
- (1) Formulating and revising the articles of association;
- (2) Election and dismissal of the chairman, deputy chairman and secretary general;
- (3) Deciding on plans for major business activities, including plans for fundraising, management and use;
- (4) Verification of annual revenue and expenditure budget and final accounts;
- (5) Formulating internal management systems;
- (6) Deciding to set up offices, branches and representative offices;
- (7) Deciding on the appointment of the Under-Secretary-General nominated by the Secretary-General and the principals of various agencies;
- (8) Listening to and reviewing the work report of the Secretary-General, and examining the work of the Secretary-General;
- (9) Deciding on the division, merger or termination of the foundation;
- (10) Decide on other major matters.
- Article 13 The council meets twice a year. Council meetings are convened and chaired by the chairman.
- One third of the directors proposed that a board meeting must be convened. If the chairman cannot convene, the proposed director may elect the convener.
- To convene a board meeting, the chairman or convener must notify all directors and supervisors 5 days in advance.
- Article 14 A meeting of the board of directors must be attended by more than two-thirds of the directors; a resolution of the board of directors must be approved by a majority of the members present.
- Resolutions on the following important matters must be voted by the directors present, and more than two-thirds of them are valid:
- (1) amendments to the articles of association;
- (2) Election or removal of the chairman, deputy chairman and secretary general;
- (3) Major fundraising and investment activities specified in the articles of association;
- (4) the division and merger of foundations;
- Article 15 The meeting of the board of directors shall make minutes. If a resolution is formed, the minutes of the meeting shall be made on the spot and reviewed and signed by the directors present. If a resolution of the board of directors violates laws, regulations or articles of association and causes losses to the foundation, the directors participating in the resolution shall bear responsibility. However, the director may be exempted from liability if it is proved to be opposed during the voting and recorded in the minutes of the meeting.
- Article 16 The Foundation shall have 2 supervisors. The term of office of the supervisors is the same as that of the directors.
- Article 17 Directors, close relatives of directors, and members of the Foundation's finance and accounting may not serve as supervisors.
- Article 18 The emergence and removal of supervisors:
- (1) Supervisors are selected by the main donors and business units;
- (2) The registration management organ shall select and dispatch according to the needs of the work;
- (3) The change of supervisors is in accordance with the procedures for its creation.
- Article 19: Rights and obligations of supervisors:
- Supervisors check the foundation's financial and accounting information in accordance with the procedures stipulated in the charter, and supervise the board's compliance with the law and charter.
- Supervisors are present at the meetings of the board of directors and have the right to raise questions and suggestions to the board of directors, and shall report the situation to the registration management organ, the competent business unit, and the tax and accounting authorities.
- Supervisors shall abide by relevant laws and regulations and the foundation's articles of association and faithfully perform their duties.
- Article 20 The directors receiving remuneration from the Foundation shall not exceed one third of the total number of directors. Supervisors and directors who do not hold full-time work in the Foundation shall not receive remuneration from the Foundation.
- Article 21 The directors of the foundation shall not participate in the decision-making of related matters when their personal interests are related to the interests of the foundation; the directors, supervisors and close relatives of the foundation shall not engage in any transaction with the foundation.
- Article 22 The council shall have a chairman, deputy directors and a secretary general, and shall be elected from the directors.
- Article 23 The Chairman, Deputy Chairman and Secretary-General of the Foundation must meet the following conditions:
- (1) It has a great influence in the business field of the Foundation;
- (2) The maximum age of office of the chairman, deputy director and secretary general is not more than 70 years, and the secretary general is full-time;
- (3) be healthy and able to work normally;
- (4) Having full capacity for civil conduct.
- Article 24 Persons under any of the following circumstances shall not serve as the chairman, deputy chairman and secretary general of the Foundation:
- (1) Belonging to a current national staff member;
- (2) He has been sentenced to control, detention or imprisonment for a crime, and the period of execution has not exceeded five years;
- (3) Those who have been sentenced to deprive of political rights for crimes are being executed or have been sentenced to be deprived of political rights;
- (4) He has served as the chairman, deputy director or secretary general of a fund whose registration has been revoked due to an illegal act, and has personal responsibility for the illegal act of the foundation, and it has not been more than 5 years since the day when the fund was revoked of.
- Article 25 Hong Kong residents, Macao residents, Taiwan residents, and foreigners who serve as the chairman, deputy chairman, or secretary-general of the Foundation must stay in China for at least 3 months each year.
- Article 26 The term of office of the chairman, deputy director and secretary-general of the Foundation is five years, and the term of office shall not exceed two. If a person needs to be re-elected due to special circumstances, they must pass the special procedures of the board of directors, be submitted to the competent business unit for review, and be approved by the registration management authority before they can serve.
- Article 27 The chairman of the foundation is the legal representative of the foundation. The legal representative of the Foundation does not serve as the legal representative of other organizations.
- During the period of the legal representative of the foundation, the foundation violates the "Fund Management Regulations" and this Articles of Association, and the legal representative shall bear relevant responsibilities. The legal representative shall bear personal responsibility if the legal representative's dereliction of duty leads to an illegal act or loss of the foundation's property.
- Article 28 The Chairman of the Foundation exercises the following functions and powers:
- (1) Convening and presiding over board meetings;
- (2) Checking the implementation of Council resolutions;
- (3) Sign important documents on behalf of the foundation;
- The foundation's deputy director and secretary-general work under the leadership of the chairman. The secretary-general exercises the following functions and powers:
- (1) Organizing and implementing the foundation's annual public welfare activities;
- (2) draw up the internal management rules and regulations of the foundation, and report to the board of directors for approval;
- (3) Coordinating the work of various agencies;
- Preside over daily work and organize implementation of Council resolutions;
- organize and implement the foundation's annual public welfare activities plan;
- draw up plans for fund raising, management and use;
- Draw up the internal management rules and regulations of the foundation and report to the Board for approval;
- Coordinate the work of various agencies;
- The appointment or dismissal of the Deputy Secretary-General and the person in charge of finance shall be decided by the council;
- (I) Propose the appointment or dismissal of the principals of the agencies, as determined by the Council;
- (I) Decide on the employment of full-time staff in various agencies;
- (Ii) The charter and other functions assigned by the Board;
- Chapter IV Management and Use of Property
- Article 29 The foundation is a non-public fundraising foundation. The income of the foundation comes from:
- (1) Voluntary donations by natural and legal persons;
- (2) voluntary donations by other organizations;
- (3) investment income;
- (4) Other legal income.
- Article 30 The property and other income of the Foundation are protected by law, and no unit or individual may embezzle, privately distribute, or embezzle it.
- Article 31 The foundation uses property in accordance with the purposes set out in the articles of association and the business scope of public welfare activities; the donation agreement specifies donations for specific uses, and is used in accordance with the donation agreement.
- When the donated materials cannot be used for purposes consistent with the purpose of the foundation, the foundation may auction or sell them in accordance with the law, and the proceeds are used for donation purposes.
- Article 32 The property of the Foundation is mainly used for:
- (1) Subsidize the construction of science, technology, culture and education in Chengdu's community;
- (2) Fostering education in Chengdu's community and supporting poor students in the community;
- Article 33 The major fundraising and investment activities of the Foundation refer to:
- (1) Donation activities with a one-time donation of more than 1 million yuan;
- (2) Investment activities with a one-time investment of more than 2 million yuan;
- (3) Other activities that the Council considers have a significant impact on the Foundation.
- Article 34 The Fund shall maintain and increase the value of the Fund in accordance with the principles of legality, safety and effectiveness.
- The foundation's annual expenditure on public welfare under the articles of association shall not be less than 8% of the fund balance of the previous year.
- The salary, benefits and administrative expenses of the staff of the Foundation shall not exceed 10% of the total expenses of the year.
- Article 35: In conducting public welfare funded projects, the Foundation shall disclose to the public the types of public welfare funded projects and the application and review procedures.
- Article 36 Donors have the right to inquire about the use and management of donated property, and put forward their opinions and suggestions. For inquiries from donors, the foundation shall respond promptly and truthfully.
- If the foundation uses the donated property in violation of the donation agreement, the donor has the right to require the foundation to abide by the donation agreement or apply to the people's court to revoke the donation and terminate the donation agreement.
- Article 37 The Foundation may sign an agreement with the recipients, agreeing on the funding method, the amount of funding, and the purpose and use of funds.
- The foundation has the right to supervise the use of funds. If the recipient fails to use the funding as agreed in the agreement or there are other violations of the agreement, the foundation has the right to terminate the funding agreement.
- Article 38 The Foundation shall implement the country s unified accounting system, carry out accounting calculations in accordance with law, establish and improve internal accounting supervision systems, and ensure that accounting information is legal, authentic, accurate, and complete. The Foundation accepts tax supervision and accounting supervision implemented by the tax and accounting authorities in accordance with the law.
- Article 39 The Foundation is equipped with professionally qualified accountants. Accountants must not be cashiers. When transferring or leaving an accountant, the accountant must go through the transfer formalities with the person taking over.
- Article 40 The Foundation shall be from January 1st to December 31st each year as a business and accounting year. Before March 31st each year, the Board shall review the following matters:
- (1) Last year's business report and final income and expenditure accounts;
- (2) The current business plan and budget of income and expenditure;
- (3) Inventory of property.
- Article 41 The Fund shall conduct financial audits when conducting annual inspections, renewal, replacement of legal representatives and liquidation.
- Article 42 The Foundation accepts annual inspections organized by the registration management organs in accordance with the "Fund Management Regulations".
- Article 43 After the Foundation has passed the annual inspection of the registration management organ, the Foundation will publish the annual work report on the media designated by the registration management organ, and accept the inquiry and supervision of the public.
- Chapter V Termination and Disposal of Surplus Property
- Article 44 The Foundation shall terminate in one of the following circumstances:
- (1) fulfilling the purposes specified in the articles of association;
- (2) failing to continue to engage in public welfare activities in accordance with the purposes specified in the articles of association;
- (3) The foundation is divided or merged;
- Article 45 The termination of the Foundation shall be reported to the competent business unit for review and approval within 15 days after the Board of Directors has passed the vote. Within 15 days after the approval of the competent business unit, an application is made to the registration management organ for cancellation of registration.
- Article 46 Prior to the cancellation of registration, the Foundation shall set up a liquidation organization under the guidance of the registration management organ and the competent business unit to complete the liquidation work.
- The Foundation shall handle the cancellation of registration with the registration management organ within 15 days from the end of the liquidation; during the liquidation period, no activities other than liquidation shall be carried out.
- Article 47 The remaining property after the cancellation of the Foundation shall be used for public welfare purposes in the following ways under the supervision of the competent business unit and the registration management agency:
- (1) continue to be used for public welfare activities related to the Foundation;
- (2) donating to other public welfare fund organizations;
- Where it is not possible to deal with it in the above manner, the registration management organization shall donate it to a public welfare organization with the same nature and purpose as the Foundation, and make a public announcement.
- Chapter VI Amendments
- Article 48 Amendments to this Articles of Association must be submitted to the competent business unit for review and approval within 15 days after the board of directors has passed the vote. After being reviewed and approved by the competent business unit, it shall be reported to the registration management authority for approval.
- Chapter VII Supplementary Provisions
- Article 49 The Articles of Association were approved by the Council on January 14, 2011.
- Article 50 The right to interpret this charter belongs to the council.
- Article 51 The articles of association shall become effective on the date of approval by the registration management organ. [4]
