Chapter I General Provisions
Article 1 The name of this association is the China Medical Care International Exchange Promotion Association, and the English name is China International Exchange and Health Care.
Article 2: The China Medical Promotion Association (hereinafter referred to as the Association) is an academic, public welfare, and non-profit legal person association voluntarily formed by medical practitioners engaged in health care nationwide. It is an important social force to promote the development of medical and health services.
Article 3 The purpose of this association is to actively promote international exchanges between China's health care institutions and non-governmental organizations and individuals in various countries in the world based on the principles of friendly cooperation, equality and mutual benefit. Article 9 Examination and Approval Procedures
Individual members should be applied by me, introduced by two members of the Association or recommended by their units, and reviewed and approved by the China Council for the Promotion of Medicine in accordance with the regulations of the Association.
Specialist members are reviewed and approved by the Specialist Branch in accordance with the regulations of the Association and reported to the Association for the record;
Member members apply to the Association for approval by the Council or the Standing Council; honorary members are recommended by the Academy of Science, nominated by the Association, approved by the Standing Council, and awarded a certificate by the Association.

Article 11 Membership certificates are issued by the Association.
Article 12 Members withdraw from the association shall notify the association in writing and return their membership card. Members who fail to pay membership fees or participate in the group's activities within one year are deemed to have automatically withdrawn. It is no longer possible to carry out external activities in the name of members of the Association.
Article 13 Members who have seriously violated the articles of association of the Association shall be delisted after being studied and approved by the Council or the Standing Council.
Chapter IV Organizations and Personnel in Charge
Article 14 The highest authority of the Association is the National Member Congress. Its authority is
1. Establish and modify the constitution of the Association;
2. Election and removal of directors;
3. Review and approve the work report and financial report of the Board;
Decide on the working principles and tasks of the Association;
5. Adopt proposals and resolutions;
6. Decide on termination matters;
7. Decide on other important matters.
Article 15 A member congress cannot be convened without the presence of more than two-thirds of the delegates, and its resolutions must be approved by more than half of the delegates present at the meeting.
Article 16 The term of office of the member congress is five years. Due to special circumstances, the term of office shall be renewed in advance or postponed. And approved by the competent business unit and registration authority. However, the renewal can be postponed for a maximum of one year.
Article 17 The council is the executive body of the member congress. It leads the group to carry out its daily work during the intersessional period and is responsible to the member congress.
Article 18 Authority of the Council
1. Implement the resolution of the member congress;
2. Election and removal of the chairman, vice-chairman and secretary general;
3. Preparations for the congress of members;
4. Report the work and financial status to the member congress;
5. Decide on the admission and removal of members;
6. Decide to set up offices, branches, dispatch agencies and entities;
Decide on the appointment of the Deputy Secretary-General and the principals of various agencies;
8. Lead the work of the institutions of the Association;
9. To guide and coordinate the work of the branches;
10. Formulate internal management systems;
11. Decide on other major matters.
Article 19 The council must be attended by more than two-thirds of the directors, and its resolutions can take effect only after more than two-thirds of the directors vote.
Article 20 The Board of Directors meets at least once a year, and may also be held in the form of communications if there are special circumstances.
Article 21 This Council has a standing council. The standing council is elected by the council. During the intersessional period of the council, members of the council exercise the powers of the council (excluding the second paragraph).
Article 22 The standing council must be attended by more than two-thirds of the executive directors, and its resolutions must be approved by two-thirds of the representatives present at the meeting.
Article 23 In principle, the standing council is convened quarterly, and may be convened in advance or postponed if necessary, and may also be held in the form of communication under special circumstances.
Article 24 The chairman, deputy chairman, and secretary general must meet the following requirements:
1. Adhere to the party's line, principles, policies, and political qualities;
2. It has a great influence in the field of business of the group;
3. The President, Vice-President, and Secretary-General have the highest office and are under 70 years of age.
4. Have good health and can work normally;
5. Those who have not received criminal punishment;
6. Have full capacity for civil conduct.
Article 25 The post of the Secretary General of the Association above the prescribed age shall be discussed and approved by the Board of Directors, and submitted to the competent department of business for examination and approval, and only after being approved and approved by the registration authority of the society.
Article 26 The President, Vice-President and Secretary-General of the Association shall be elected from the Executive Council and elected by the Council; the Secretary-General shall be nominated by the President and approved by the Council. Each term of office is five years, with a maximum term of no more than two. If it is necessary to extend the term for special reasons, it must be approved by more than two-thirds of the members' congress and submitted to the competent authority for approval.
Article 27 The Secretary-General of the Association shall be the legal representative of the Association, and shall be appointed only after the competent business unit and the approval of the registration authority of the association. The legal representative of this association cannot concurrently act as the legal representative of other organizations.
Article 28 The President exercises the following functions and powers
1. To chair and convene members' congresses, councils and executive councils;
2. Check the implementation of the resolutions of the above meetings;
3. Sign relevant important documents on behalf of the Association.
Article 29 The Secretary-General exercises the following functions and powers
1. Preside over the daily work of the office and organize the implementation of the annual work plan;
2. Coordinate the work of all branches, dispatched agencies and entities;
3. The nomination of the Deputy Secretary-General and the principals of its affiliated institutions shall be decided by the Executive Council;
4. Decide to hire full-time staff of the office;
5. Handle other daily affairs.
Article 30 The Association shall have honorary directors. For those who have made outstanding contributions to the Association, domestic and foreign persons or leaders of enterprises and institutions who actively support the Association may be employed as Honorary Directors of the Association until the next Congress.
Article 31 The Association shall establish professional committees approved by the executive council according to different disciplines or specialties. The official name is "a certain professional committee of the China Healthcare International Exchange Promotion Association." With a charter, the term of the committee is three years.
Article 32 The Association will set up a number of full-time staff as needed to organize offices.
Article 33 The establishment of each branch can refer to the articles of association of the Association, accept the guidance of the Association, and organize activities must be reported to the Association for review and approval before activities.

Article 34 Sources of Funds of the Association

Article 35 The funding sources of the Association must be legitimate, and its funds must be used for the development of the cause of the Association, and must not be distributed among members.
Article 36 This Association is equipped with full-time accounting personnel and accepts the supervision of relevant departments. Accountants must go through the transfer formalities with the receivers when they are transferred.
Article 37 The asset management of the Association implements the financial management system prescribed by the state, guarantees that the accounting information is legal, authentic, accurate, and complete, accepts the supervision of the member congress and the financial department, and reports regularly to the executive board.
Article 38 Prior to the re-election or replacement of the legal entity, the group must accept the financial audit organized by the registration management organization of the society and the competent business unit.
Article 39 No unit or individual of the assets of the Association shall embezzle, privately distribute or misappropriate.
Article 40 The salaries and insurance benefits of full-time staff of this Association shall be implemented with reference to relevant state regulations on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 41 Amendments to the Articles of Association shall be submitted to the member congress for consideration after being approved by the Council.
Article 42 The amended articles of association shall be effective after being reviewed and approved by the competent business authority within 15 days after being passed by the member congress, and reported to the registration and management authority of the society.
Chapter VII Emblem
Article 43 The emblem is composed of two concentric circles. The inner circle is a three-dimensional satellite cloud image, the blue sky and white clouds represent the world, the topographic map of China in the middle represents China, and the golden snake stick is an internationally used medical and health symbol.
The black font "China Healthcare International Exchange Promotion Association" is printed between the inner and outer circles, and the lower part is the red English letter: "CPAM" means the English abbreviation of China Medical Promotion Association.
The overall graphic highlights the exchange and cooperation between the China Healthcare International Exchange Promotion Association and the international community in the development of the healthcare industry.
Chapter VIII Termination Procedure and Disposal of Property After Termination
Article 44 The termination of this association shall be proposed by the council. Two-thirds of the representatives of the member congress shall adopt it, and it shall take effect upon the cancellation of the registration formalities with the registration authority after examination and approval by the competent business department.
Article 45 Before the termination of the Association, a liquidation organization shall be established under the guidance of the competent business department and relevant authorities to clear creditor's rights and debts, deal with aftermath matters, and during the liquidation period, no activities other than liquidation shall be conducted.
Article 46 The remaining property after the termination of the Association shall be used for the development of businesses related to the purpose of the Association under the supervision of the competent business department and the registration authority.
Chapter IX Supplementary Provisions
Article 47 The Association shall report to the Ministry of Health and the Ministry of Civil Affairs for the record after being approved by the third member congress.
Article 48 The power to interpret the articles of association of this association belongs to the council.
Article 49 This Article of Association shall become effective on the date of approval by the Ministry of Civil Affairs
