Article 3 The Society is a national academic organization. Chapter II Business Scope
Article 6 Business Scope of the Society

(4) Organizing and carrying out discussions on major issues involving genetic disciplines and related disciplines in national science and technology development strategies, policies, and economic construction, and putting forward policy recommendations;
(5) Organizing scientific and technological consulting and technical service work related to genetics and related disciplines, accepting entrustment to carry out scientific and technological project demonstrations, scientific and technological achievements evaluation, professional and technical title evaluation, and organize exhibitions;
(6) Carry out continuing education and training for members and genetic science and technology workers in the disciplines and related disciplines;
(7) Holding careers and activities for members;

Chapter III Members
Article 7 The types of members of the Institute are: individual members, senior members, Hong Kong, Macao and Taiwan members, and foreign members.
Article 8 Members who apply to join the Society must meet the following requirements:
(1) Individual members:
A genetic worker with an intermediate title (or equivalent technical title) or a science and technology worker related to the specialty of the society, acknowledges the constitution of the society, is willing to participate in the activities of the society, and completes the admission procedures to become a member of the society.
(2) Senior members:
Members of the Association who have obtained technical titles of professors and researchers (or equivalent technical titles) and have one of the following conditions: the main person in charge of the provincial and ministerial science and technology progress award or the natural science award; Those who have significant academic influence; those who have served as the main leader of the society or engaged in full-time work of the society for more than ten years, who have made important contributions to the development of the society, should submit an application in person and be approved by the society to become a senior member of the society.
Article 9 The procedure for membership membership is:
(1) Submit an application for membership, and be introduced by two members or recommended by the society's secretariat, professional (working) committee, branch society, and genetic society of provinces, municipalities, and autonomous regions;
(2) Individual members of the society entrust the provincial and municipal autonomous region genetic society and the subordinate branches of the society to examine and approve according to the membership conditions stipulated in the constitution of the society, and report to the secretariat of the society for the record;
(3) The Council or Executive Council authorizes the secretariat of the Institute to issue membership certificates.
Article 10 Members enjoy the following rights (individual members, senior members):
1. Have the right to vote, to be elected and to vote;
2. Have the right to criticize, suggest and supervise the work of the Society;
3. Priority to participate in academic activities organized by the Institute and obtain relevant academic materials;
4. Implement the resolutions of the Society and complete the work entrusted by the Society;
5. Actively participate in relevant activities of the Society;
6. Membership is voluntary and membership is free.
Article 11 Members fulfill the following obligations:
(1) to implement the resolutions of the Society;
(2) to safeguard the legitimate rights and interests of the Institute;
(3) completing the tasks assigned by the Society;
(4) Paying dues in accordance with regulations;
(5) Report the situation to the Institute and provide relevant materials.
Article 12 Members withdraw from the meeting shall notify the secretariat of the society in writing and return the membership card. If a member fails to pay dues for one year or does not participate in the activities of the Institute for no reason, after notifying by the Secretariat of the Association, those who still do not pay dues shall be deemed to have automatically withdrawn.
Article 13 Any member who commits a serious violation of this Articles of Association shall be removed by voting by the Board of Directors or the Standing Council.
Chapter IV Organizations and Personnel in Charge
Article 14 The highest authority of the Society is the National Member Congress. The National Member Congress is convened every five years to change the board of directors. If the special term needs to be renewed in advance or postponed, it must be approved by the board of directors, submitted to the business unit China Science and Technology Association for review, and approved by the Ministry of Civil Affairs of the People's Republic of China. However, the postponement of the renewal shall not exceed one year.
The National Congress of Members must be attended by more than two-thirds of the members' representatives, and its resolutions must be approved by more than half of the members present at the meeting to take effect.
Article 15 Functions and powers of the National Member Congress:
(1) Formulating and revising the articles of association;
(2) election and removal of directors;
(3) to formulate the working principles and tasks of the Society;
(4) to review the work report and financial report of the council;
(5) Deciding on termination matters;
(6) Decide on other major matters.
Article 16 The council is the executive body of the National Congress of Members. During the intersessional period, it leads the Institute to carry out daily work and is responsible to the National Congress of Members. The council must be attended by more than two-thirds of the directors, and its resolutions must take effect after two-thirds of the directors have passed. The council meets once every two years; in special circumstances, it can also be held in the form of communication.
The members of the council should be elected by secret ballot through full deliberation and consultation. The directors should be academically accomplished, academically decent, scientists, experts, and young and middle-aged geneticists who can participate in practical work, as well as leading cadres who are enthusiastic about the work of the society and engaged in the management of related disciplines. The composition of the council should reflect the structure of the old, middle and young teams. Council members are updated at least one-third each time.

Article 17 Powers of the Board:

(5) Decide on the admission or removal of members;

(7) Deciding on the appointment of the Deputy Secretary-General and the principals of various agencies;
(8) Formulate plans for important activities of the Society;

(10) Leading the institutions of the Institute to carry out work;
(11) Formulating internal management systems;
(12) Decide on other major matters.
Article 18 The Society shall establish a standing council (the number of standing councils shall not exceed 1/3 of the number of directors). The standing council is elected by the council, and exercises the functions and powers of Article 17, Articles 1, 3, 5, 6, 6, 7, 8, 9, 10 and 11 during the intersessional period of the Council and is responsible to the Council.
Article 19 The standing council meets two to four times a year; in special circumstances, it may also be held in the form of communication. The standing council must be attended by more than two-thirds of the executive directors, and its resolutions must be approved by the standing council members at least two-thirds.
Article 20 The chairman, vice-chairman and secretary-general of the society must meet the following requirements:
(1) Adhere to the party's line, principles, and policies, and have good political quality;
(2) It has a greater influence in the business field of the Institute;
(3) The maximum age of the chairman and deputy director is not more than 70 years old, and the maximum age of the secretary general is not more than 62 years old. The secretary general is usually full-time. In special cases, a full-time standing deputy secretary-general is decided by the council.

(5) Having not received criminal punishment for deprivation of political rights;
(6) Having full capacity for civil conduct;
Article 21 If the chairman, deputy chairman and secretary-general of the Society exceed the maximum service age, they must be approved by the board of directors, submitted to the business unit for review, and approved by the registration management department before they can serve.
Article 22 The term of office of the chairman, deputy director and secretary-general of the Society shall not exceed two. The extension of the term of office due to special circumstances shall be approved by a vote of 2/3 or more of the members of the National Member Congress and reported to the business executive. The unit China Science and Technology Association can only hold the post after reviewing and obtaining approval from the Ministry of Civil Affairs of the People's Republic of China.
Article 23 The chairman of the society is the legal representative of the society, and the vice chairman or the secretary general may be appointed by the chairman as the legal representative. The legal representative of the Institute does not concurrently serve as the legal representative of other groups.
Article 24 The President of the Institute exercises the following functions and powers:
(1) Convene and chair the council and executive council;
(2) to check the implementation of the resolutions of the National Member Congress, the Council, and the Standing Council;
(3) Sign relevant important documents on behalf of the Society.
Article 25 The Secretary-General of the Institute exercises the following functions and powers:
(1) Preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of all branches, representative offices and entities;
(3) Nomination of the Deputy Secretary-General and the principals of each office, branch, representative office and entity shall be submitted to the council or executive council for decision;
(4) Deciding on the employment of full-time staff in offices, representative offices and entities;
(5) Handling other daily affairs.
Chapter V Principles of Asset Management and Use
Article 26 Funding Sources of the Society
(1) dues;
(2) donation;
(3) Government funding;
(4) income from activities or services carried out within the approved scope of business;
(5) Other legal income.
Article 27 The funds of the Society must be used for the development of the business scope and cause stipulated in the Articles of Association, and shall not be distributed among members.
Article 28 The Institute establishes a strict financial management system and is equipped with professionally qualified accountants. Accounting should not act as cashier. Accountants must perform accounting calculations and implement accounting supervision. Ensure that the accounting information is legal, authentic, accurate and complete. When transferring or leaving an accountant, the accountant must go through the transfer formalities with the person taking over.
Article 29 The asset management of the society must implement the financial management system prescribed by the state, and accept the supervision of the National Member Congress and the financial department. If the source of assets is a state appropriation or social donation or funding, it must be subject to the supervision of the auditing agency and the relevant situation shall be announced to the society in an appropriate manner. No unit or individual may misappropriate, privately distribute or misappropriate the assets of the Institute.
Article 30 Before the re-election or replacement of the legal representative, the society must accept the financial audit organized by the registration management department of the society and the competent business unit.
Article 31 The salary, insurance and welfare benefits of full-time staff of the Institute shall be implemented with reference to the relevant regulations of state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 32 Amendments to the articles of association of the Society shall be submitted to the National Congress of Members for consideration after being approved by the Council.
Article 33 The amended articles of association of this society shall be effective within 15 days after being approved by the National Member Congress, after being reviewed and approved by the China Science and Technology Association, the competent business unit, and submitted to the Ministry of Civil Affairs of the People's Republic of China for registration and management of the society.
Chapter VII Termination Procedure and Disposal of Property After Termination
Article 34 When the society completes its purpose or dissolves itself or needs to be cancelled due to division, merger, etc., the board of directors or executive board of directors shall propose a termination motion. It was voted and passed by the National Member Congress and reported to the competent business unit for review and approval. It will be terminated after the registration management department of the society completes the cancellation registration procedures.
Article 35 Prior to the termination of the Institute, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clear creditor's rights and debts and handle aftermath. During the liquidation, not to carry out activities other than liquidation. The remaining property is used for the development of the undertakings related to the purpose of the group of the society under the supervision of the competent business unit and the registration management department of the society in accordance with the relevant national regulations.
Chapter VIII Supplementary Provisions
Article 36 The Articles of Association are voted and approved by the Eighth National Congress of Members.
Article 37 The right to interpret this charter belongs to the Council of the Society.
Article 38 This Article of Association shall become effective on the date of approval by the registration management authority of the association. [2]
