What Is an Entrepreneur Association?
The Chinese Entrepreneurs Association was established in March 1984. It is an earlier and larger-scale national economic type social organization approved by the State Council since China's reform and opening up. The Association has more than 500,000 member companies and 4,500 member companies directly under the country.

- Article 14 Anyone who recognizes the articles of association of the Association, fulfills its membership obligations, and meets one of the following conditions may apply to become a member of the Association or an individual member.
- (I) Unit membership conditions:
- 1. Entrepreneurs' groups in provinces, autonomous regions, municipalities and central cities;
- 2. National and industry entrepreneur groups;
- 3. Other relevant legal person organizations.
- (2) Individual membership conditions:
- 1. Those who care about and support the work of the Association, and have made significant achievements in the fields of business management, management and economic research;
- 2. Legal representatives of enterprises and other current leaders registered in the territory of the People's Republic of China.
- Article 15 The procedure for membership membership is:
- (1) Submitting an application for membership;

- Article 16 Members enjoy the following rights:
- (1) the right to vote, to be elected and to vote;
- (2) Participate in activities organized by the Association;

- (5) Volunteer membership and freedom of withdrawal.
- Article 17 Members fulfill the following obligations:
- (1) to abide by the constitution of the Association and implement the resolutions of the Association;
- (2) Caring about and supporting the work of the Association and safeguarding the legitimate rights and interests of the Association;
- (3) to undertake the relevant work entrusted by the Association;
- (4) to reflect the relevant situation to the Association, and provide information, statistical data and other materials;

- If a member violates laws, regulations or does not comply with the constitution of the Association, depending on the circumstances, the Association may cancel its membership.
- Article 18 Member withdrawal
- Members shall notify the Association in writing and return the membership card. Members who fail to pay their dues for two consecutive years without reason will be deemed to have automatically withdrawn.

- Article 19 The highest authority of this association is the member congress.
- Article 20 A general meeting of members must be attended by more than two-thirds of the members 'representatives, and its resolutions must be approved by more than half of the members' representatives present at the meeting to take effect.
- Article 21 Each member's congress is held for five years. If the special term needs to be renewed in advance or postponed, it must be approved by the board of directors, submitted to the business unit for review, and approved by the registration management authority of the society. - The member congress is presided over by the chairman, or the chairman entrusts the executive vice chairman to preside.
- The member congress exercises the following functions and powers:

- (3) Deliberating proposals and forming resolutions;
- (4) Election and removal of members of the Board;
- (5) Formulating and revising the articles of association;
- (6) Formulating and revising the standard of membership fees;
- (7) Decision on termination.
- Article 22 The council is the executive body of the member congress. During the intersessional period of the member congress, the council leads its daily work and is responsible to the member congress.
- Article 23 The council must be attended by more than half of the directors, and its resolutions must take effect after more than two-thirds of the directors vote.
- Article 24 The term of the Council is five years. The council meeting is held once a year, and some of the functions and powers of the council can be exercised in the form of a board meeting. When a director is unable to participate in voting for some reason, he may entrust a representative to participate in the voting.
- The meeting of the council is presided over by the chairman, or the vice chairman is entrusted by the chairman to preside.
- The Council exercises the following functions:
- (1) Implementing the resolutions of the member congress;
- (2) Election and removal of the chairman, deputy chairman, secretary general, deputy secretary general, and executive director;
- (3) Deciding on the establishment of honorary positions and the appointment of relevant personnel;
- (4) It is decided to add or adjust directors, but the number of directors to be added or adjusted by the council during the term of office shall not exceed 1/3 of the principle directors;
- (5) Reporting to the member congress on the status of work and dues and expenses;
- (6) Hearing and reviewing the work report of the Standing Council;
- (7) Review and approve the annual work plan;
- (8) Preparations for holding a congress of members;
- (9) Decide on the admission or removal of members;
- (10) Deciding to establish offices, branches, representative offices and entities;
- (11) Leading the institutions of the Association to carry out their work;
- (12) Examine other relevant important matters of the Association.
- If the member elected by the member unit no longer continues to serve as a director due to job changes and other reasons, the original recommending unit will nominate a new candidate for election and report to the Council for consideration.
- Article 25 This Council has a standing council. During the intersessional period of the council, the standing council shall exercise the functions and powers of Article 24, Articles 1, 7, 8, 9, 10, and 11, and review and report to the Council. Decisions related to the bill.

- Article 26 The standing council must be attended by more than half of the standing council members, and its resolutions can take effect only after more than two-thirds of the standing council members have voted to pass the meeting.
- Article 27 The standing council meets at least half a year. A meeting of the Executive Council may be convened on the proposal of the Secretary-General and approval by the President.
- The standing council meeting is chaired by the chairman, or the chairman entrusts the executive vice chairman to chair.
- Article 28 The Chairman, Vice Chairman, and Secretary-General of the Association must meet the following requirements:
- (1) Adhere to the party's line, principles, and policies, be fair, clean, and have good political quality;
- (2) Have high prestige and influence in the business field of the Association;
- (3) The maximum age of office of the chairman, vice-chairman and secretary general is not more than 70 years, and the secretary general is full-time;
- (4) be healthy and able to work normally;
- (5) Have not been subjected to criminal punishment for deprivation of political rights;
- (6) Having full capacity for civil conduct.
- Article 29 If the chairman, vice-chairman and secretary-general of the Association exceed the maximum service age, they must be voted and approved by the board of directors, submitted to the competent business unit for review, and approved by the registration management authority before they can serve.
- Article 30 The term of office of the President, Vice-President and Secretary-General of the Association is five years, with a maximum of two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the member congress of the member congress, submitted to the competent business unit for review and approved by the registration management authority of the society before it can serve.
- Article 31 The legal representative of the Association shall be the chairman. - Article 33 The Secretary-General of the Association exercises the following functions and powers:
- (1) Preside over the daily work of the office and organize the implementation of the annual work plan;
- (2) Coordinating the work of all branches, representative offices and entities;
- (3) Nomination of the Deputy Secretary-General and the principals of each office, branch, representative office and entity shall be submitted to the council or executive council for decision;
- (4) Deciding on the employment of full-time staff in offices, representative offices and entities;
- (5) Handling other daily affairs.
- Article 34 The Association shall establish a work (office) organization based on the principles of simplicity, efficiency, and unification of powers and responsibilities. Under the leadership of the chairman, it shall handle specific business and affairs according to the authorization and division of labor.
- Funding and assets
- Article 35 Main Sources of Funding
- (1) Contributions collected in accordance with relevant state regulations;
- (2) Revenue from activities or services carried out within the approved scope of business;
- (3) Donations from groups, enterprises and individuals at home and abroad;
- (4) Financial subsidies, entrusted project income and other funding;
- (5) Interest income;
- (6) Other legal income.
- Article 36 The use of funds and assets of the Association must conform to the purpose and business scope of the Association.
- Article 37 The funds of the Association must be used for the development of the business scope and cause specified in the Articles of Association, and shall not be distributed among members.
- The income and expenditure of funds shall be implemented in accordance with relevant state regulations.
- Article 38 This Association establishes a strict financial management system to ensure that the accounting information is legal, authentic, accurate and complete. Equipped with professionally qualified accountants. Accounting should not act as cashier. Accountants must perform accounting calculations and implement accounting supervision. When transferring or leaving an accountant, the accountant must go through the transfer formalities with the person taking over.
- Article 39 The asset management of the Association implements the financial management system prescribed by the state, and accepts the supervision of the member congress, the financial department and the auditing agency.
- Article 40 Before the re-election or replacement of the legal representative, the Association must accept the financial audit organized by the registration management organization of the society and the competent business unit.
- Article 41. No unit or individual may misappropriate, privately distribute or misappropriate the assets of the Association.
- Article 42 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to relevant state regulations.
- Bylaw amendment procedures
- Article 43 The constitution of the Association shall be revised and discussed by the executive council or the council, and submitted to the member congress for deliberation and approval.
- During the intersessional period of the member congress, due to special reasons, it is necessary to modify some of the articles of association's articles of association, the standing council can make a decision in advance, and more than half of the representatives of the current member congress can confirm it through communication.
- Article 44 The amended articles of association of this association shall take effect within 15 days after being approved by the member congress, after being reviewed and approved by the competent business unit, and reported to the registration and management authority of the society. Chapter VII Termination Procedures Article 45 When the division, merger or dissolution of this Association shall be terminated, a motion shall be proposed by the Standing Council, passed by the Council, and reported to the competent business department for review and approval.
- Article 46 Prior to the termination of the Association, a liquidation organization shall be established under the guidance of the competent business department and relevant authorities to clear creditor's rights and debts and handle aftermath. - Article 47 The Association shall be terminated after the registration management of the association is completed.
- Article 48 The remaining property after the termination of the Association shall be used for the development of undertakings related to the purpose of the Association under the supervision of the competent business unit and the registration management authority of the association in accordance with the relevant state regulations.

- Article 49 This Articles of Association was voted and approved by the Member Congress on September 20, 2008.
- Article 50 The right to interpret this charter belongs to the Council of this Council.
