Chapter I General Provisions
Article 1 The name of this Association is the China Association for the Promotion of International Healthcare (hereinafter referred to as the "Council").
Article 2 This Association is an academic, professional and non-profit social organization voluntarily formed by law-enforced medical and technical workers nationwide.
Article 3 The purpose of the Association is to unite national medical and scientific personnel and medical enterprises and institutions in the principles of friendly cooperation, equality and mutual benefit, and actively promote the exchanges and cooperation between China's medical and health institutions and the medical and health industries in various countries (regions) around the world To promote the Chinese national health culture to the world. Article 9 Examination and Approval Procedures
Individual members are applied by themselves, introduced by two members of the Association or recommended by the unit; unit members apply to the Association, submit relevant certification materials, and be reviewed and approved by the Council or the Standing Council.
Article 10 Rights and Obligations of Members
I. Rights

Obligations

Article 11 Membership certificates are issued by the Association.
Article 12 Members withdraw from the association shall notify the association in writing and return their membership card. Members who do not pay dues or participate in the activities of the Association within one year shall be deemed to have automatically withdrawn from the Association, and their corresponding duties, rights, and obligations in the Association shall be terminated by themselves.
Article 13 Any member who commits a serious violation of laws and regulations and this Articles of Association will, based on the circumstances and the seriousness of the problem, study and adopt the board of directors or the standing board of directors, give a warning, report criticism, and be subject to dismissal.
Chapter IV Organizations and Personnel in Charge
Article 14 The highest authority of this association is the member congress, and its authority
1. Formulate and modify the constitution of the Association;
2. Election and removal of directors;
3. Review the work report and financial report of the Board;
4. Consider important issues for the development of the Association;
5. Adopt proposals and resolutions;
6. Formulate and modify the standard of membership fees;
7. Decide on termination matters;
8. Decide on other important matters.
Article 15 A member congress cannot be convened without the presence of more than two-thirds of the delegates, and its resolutions must be approved by more than half of the delegates present at the meeting.
Article 16 The term of each term of the member congress is five years. Due to special circumstances, it is necessary to advance or postpone the renewal. It must be approved by the board of directors and submitted to the registration management authority for approval. However, the postponement of the renewal shall not exceed one year.
Article 17 The council is the executive body of the member congress, and during the intersessional period of the member congress, leads the council to carry out daily work and is responsible to the member congress.
Article 18 Authority of the Council
1. Implement the resolution of the member congress;
2. Election and removal of the chairman, vice-chairman, secretary general and executive director;
3. Preparations for the congress of members;
4. Report the work and financial status to the member congress;
5. Decide on the admission and removal of members;
6. Decide on the establishment, change and cancellation of offices and branches;
7. Decide on the candidates of the Deputy Secretary-General and the principals of various agencies;
8. Lead the work of the institutions of the Association;
9. Formulate internal management systems;
10. Decide on other major matters.
Article 19 The council must be attended by more than two-thirds of the directors, and its resolutions can take effect only after more than two-thirds of the directors vote. Directors cannot attend the meeting, they can entrust representatives to participate in writing and have the right to vote. Directors who do not attend the council meetings for up to 2 times without their authorized representatives will be automatically disqualified.
Article 20 The council meets at least once a year. In special circumstances, it may also be held in the form of communication.
Article 21 This Council has a standing council. The standing council is elected by the council. During the intersessional period of the council, it exercises the functions of Articles 18, 3, 5, 5, 6, 7, 8, 9, and 10. Responsible to the Board. The number of standing directors does not exceed one third of the directors.
Article 22 The standing council must be attended by more than two-thirds of the executive directors, and its resolutions can take effect only after more than two-thirds of the standing council members have voted to pass the meeting.
Article 23 The standing council meets at least half a year, and may be held in advance or postponed if necessary, and may also be held in the form of communication under special circumstances. Executive directors cannot attend the meeting, and may entrust a representative to participate in writing and have the right to vote on his behalf. The executive director himself without an authorized representative does not attend the meeting of the executive council for a maximum of 4 times, and is automatically disqualified from the executive director.
Article 24 The chairman, vice chairman, and secretary-general must meet the following requirements:
1. Adhere to the party's line, principles, policies, and political qualities;

3. The highest age of the chairman, vice-chairman and secretary-general shall not exceed 70 years, and the secretary-general is full-time;
4. Good health and ability to work normally;

6. Have full capacity for civil conduct.
Article 25 If the secretary-general and above persons in charge of the Association exceed the specified age, they must be discussed and approved by the board of directors, and submitted to the competent business unit for review and registration and approval by the management authority before they can serve.
Article 26 The chairman and vice-chairman of the Association shall be elected from the executive directors and elected by the council; the secretary-general shall be nominated and appointed by the chairman and approved by the council. The term of each term is five years, and the maximum term is no more than two. If the term needs to be extended for special reasons, it must be approved by more than two-thirds of the member representatives of the member congress, submitted to the business unit for review, and approved by the registration management agency. Article 27 The President of the Association shall be the legal representative of the Association.
The legal representative signs relevant important documents on behalf of the Association.
The legal representative of the Association cannot concurrently act as the legal representative of other associations.
Article 28 The President exercises the following functions and powers

Article 29 The Secretary-General exercises the following functions and powers
1. Assist the chairperson to preside over the daily work of the office and organize the implementation of the annual work plan;

Article 33 The Association implements the "Accounting System for Civil Non-Profit Organizations" and establishes a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.
Article 34 This Association is equipped with professionally qualified accountants. Accounting should not act as cashier. Accountants must perform accounting calculations and implement accounting supervision. When an accountant transfers work or leaves, he must clear the transfer formalities with the takeover staff.
Article 35 The asset management of the Association implements the financial management system prescribed by the state, and accepts the supervision of the member congress and relevant departments. If the source of assets is a state appropriation or social donation or funding, it must be subject to the supervision of the auditing agency and the relevant situation shall be announced to the society in an appropriate manner.
Article 36 Before the re-election or replacement of the legal representative, the financial audit must be conducted.
Article 37 All the assets of the Association and its added value shall be owned by the Association. No unit or individual may misappropriate, privately distribute or misappropriate, nor may it be distributed among members.
Article 38 This Council establishes the appointment and management system of full-time personnel, whose wages, insurance and welfare benefits shall be determined by the council or the executive council in accordance with relevant state regulations.
Chapter VI Procedures for Amending the Articles of Association
Article 39 The amendments to the articles of association of the Association shall be approved by the Board of Directors, submitted to the competent business unit and the registration management organ for pre-examination, and submitted to the member congress for deliberation.
Article 40 The amended articles of association of the Association shall take effect within 15 days after the approval of the registration management organ within 15 days after more than two-thirds of the member representatives attending the member congress vote.

Chapter VIII Termination Procedure and Disposal of Property After Termination
Article 42 The motion for termination of the Association shall be proposed by the Council or the Standing Council, submitted to the member congress for voting and approval, and shall be liquidated with the consent of the registration management organ.
Article 43 Under the guidance of the registration management organs and relevant departments, the Association shall set up a liquidation organization to clear up creditor's rights and debts, and handle the aftermath. During the liquidation, not to carry out activities other than liquidation.
Article 44 This Association shall be terminated after the registration management organ has completed the cancellation registration procedures.
Article 45 The remaining property after the termination of the Association shall be used to develop undertakings related to the purpose of the Association or be donated to public welfare organizations in accordance with the relevant regulations of the State under the supervision of the registration management organs.
Chapter IX Supplementary Provisions
Article 46 This Article of Association was approved by the Fifth Member Congress on January 31, 2015.
Article 47 The right to interpret this charter belongs to the council.
